This Amendment No. 4 to Schedule TO (this Amendment ) is filed by Dollar General Corporation, a Tennessee corporation ( Dollar General ), and D3 Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Dollar General (the Purchaser ), and amends and supplements the Tender Offer Statement on Schedule TO filed with the Securities and Exchange Commission on September 10, 2014 (together with any amendments and supplements thereto, the Schedule TO ) by Dollar General and the Purchaser and relates to the offer by the Purchaser to purchase all outstanding shares of common stock, par value $0.10 per share (together with the associated preferred share purchase rights, the Shares ), of Family Dollar Stores, Inc., a Delaware corporation ( Family Dollar ), at $80.00 per Share, net to the seller in cash, without interest and less any required withholding taxes, upon the terms and subject to the conditions set forth in the Offer to Purchase and the related Letter of Transmittal that accompanies the Offer to Purchase, dated September 10, 2014. This Amendment is being filed on behalf of Dollar General and the Purchaser. All capitalized terms used in this Amendment and not otherwise defined have the respective meanings ascribed to them in the Schedule TO.
The information set forth in the Offer to Purchase and the related Letter of Transmittal, including all schedules thereto, is hereby incorporated by reference in answer to Items 1 through 9 and Item 11 of this Amendment, except as otherwise set forth below. This Amendment should be read together with the Schedule TO.

Items 1 through 11 are hereby amended and supplemented as follows:
1. | The second paragraph of the subsection titled Antitrust in Section 15 Certain Legal Matters; Regulatory Approvals; Appraisal Rights is hereby replaced in its entirety by the following: |
Pursuant to the requirements of the HSR Act, we filed a Notification and Report Form with respect to the Offer with the Antitrust Division and the FTC on September 10, 2014. Dollar General filed for the waiting periods applicable to a one-step merger transaction rather than the shorter waiting periods applicable to cash tender offers. Dollar General believes that electing the thirty day waiting period rather than the shorter fifteen day waiting period applicable to cash tender offers allowed Dollar General additional time to provide information to the Antitrust Division and the FTC in support of its HSR filing and gave the Antitrust Division and the FTC a sufficient amount of time to consider such information. On October 10, 2014, at the expiration of the initial waiting period, Dollar General received a Request for Additional Information and Documentary Material (the Second Request) from the FTC seeking additional information relevant to the Offer. The effect of the Second Request is to extend the waiting period imposed by the HSR Act until 11:59 p.m., New York City time, 30 calendar days after Dollar Generals and Family Dollars substantial compliance with the Second Request. Thereafter, such waiting period can be extended or the Offer enjoined only by court order. We will continue to cooperate with the FTC to obtain antitrust regulatory clearance for the Offer.

DOLLAR GENERAL RECEIVES SECOND REQUEST FROM FTC, AS EXPECTED, REGARDING PROPOSED ACQUISITION OF FAMILY DOLLAR

GOODLETTSVILLE, Tennessee October 10, 2014 Dollar General Corporation (NYSE: DG) today announced that, as expected, it has received a request for additional information (Second Request) from the Federal Trade Commission (FTC) relating to Dollar Generals proposed acquisition of Family Dollar Stores, Inc. (NYSE: FDO). The Second Request was issued under notification requirements of the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, and is a standard part of the regulatory review process.
Dollar General remains committed to the proposed acquisition of Family Dollar and will continue to cooperate with the FTC to obtain antitrust regulatory clearance for the transaction.
Goldman, Sachs & Co. is acting as financial advisor to Dollar General. KKR Capital Markets and MCS Capital Markets are advising Dollar General on the financing. Simpson Thacher & Bartlett LLP is acting as its legal counsel.
